This is an important set of professional standards that provides guidance on professional practice, responsibilities, and principles of conduct for Independent Members of the Board of Directors in Vietnam.

The Code was developed with a strong emphasis on integrity, independence, professional responsibility, and professional competence, thereby contributing to the improvement of corporate governance quality and promoting greater transparency, sustainability, and efficiency in business operations.

According to the published content, the Code highlights several core orientations for Independent Board Members, including: promoting good corporate governance practices; protecting the rights and interests of the company, shareholders, and relevant stakeholders; maintaining independence, objectivity, and a constructive approach in the performance of their duties; and continuously improving their ethical qualities and professional capabilities.

In addition to these general principles, the Code also addresses important requirements in the relationship with the company, including compliance with the law, maintaining independence, and exercising rights and obligations with prudence, loyalty, diligence, and on the basis of adequate information.
